Lockerz.com, a dynamic new lifestyle website that is the online destination for content, community and commerce, is looking for someone who can represent the brand both on screen and on line. Want to audition to be the face of Lockerz? Give it your best shot!

To be considered entrants must be:

• Between the ages of 18 and 24
• Completely comfortable in front of the camera
• Energetic, confident, smart and original
• A natural trendsetter, always a few steps ahead of the rest
• A pop-culture guru, knowledgeable in the hottest websites, movies, music, celebrities and styles

Sound like you? Then send us a video that’s no more than 60 seconds long on why you’d be perfect for Lockerz. Submit your video to the Lockerz YouTube Channel (http://www.youtube.com/group/lockerzcontest ) no later than October 9, 2009.
If selected, you will need to:

• Have a valid passport and driver’s license,
• Be proficient in the use of Apple computers,
• Have a high school diploma and preferably a college degree
• Be willing to relocate and travel
• Sign a 12 month employment contract

RELEASE: By submitting your video audition and the application, you agree to the terms of this release (“Release”), to Lockerz, LLC (“Lockerz”) as of the date of your submission to Lockerz.

You agree to allow Lockerz, its affiliates and licensees, to use your video submission (the “Materials”), and your name, image, voice or likeness as determined by Lockerz, in its sole discretion, for inclusion on the Lockerz website (the “Site”), as well as on one or more social networking, marketing, entertainment, advertising, promotional or other sites or media platforms or in any advertisement or promotional materials or media for Lockerz and/or the Site, alone or in connection with a other materials provided by Lockerz, all as determined by Lockerz in its sole discretion. Nothing herein shall obligate Lockerz to use any or all of the Materials if Lockerz, in its sole discretion, elects not to do so, and such election not to use the Materials shall not otherwise affect any of Lockerz’ rights with respect to such Materials pursuant to this Release

In consideration of Lockerz’ review of your submission and the Materials, and for other good and valuable consideration, the receipt and sufficiency of which is acknowledged by you, you hereby sell, assign, transfer and set over to Lockerz all of your right, title and interest in and to the Materials, including, without limitation, all of your worldwide copyright and other proprietary interests therein. No other fees shall be due with respect to your submission of the Materials, the rights granted to Lockerz pursuant to this Release or Lockerz use of any of the Materials. Without limiting the generality of the foregoing assignment, you hereby agree that Lockerz, its successors, assignees and licensees, shall have the irrevocable, royalty-free and perpetual right, but not the obligation, to utilize the Materials and to edit, dub, alter, and/or otherwise change the Materials, as well as the right, but not the obligation, to use, re-use, publish, and re-publish the Materials, in whole or in part, without restriction as to changes or alterations, and in any and all media now or hereafter known, for any promotional, advertising, commercial or any other purpose whatsoever, as Lockerz and its licensees and assignees may desire. The foregoing shall include the right, in perpetuity, to reproduce the Materials in print, to reproduce the Materials on the Site or other websites, whether or not owned by Lockerz, to broadcast and authorize others to broadcast the Materials on television or radio, and to use the Materials via any other means, now known or hereinafter developed. You agree that the inclusion of one or more of the Materials in any Lockerz productions or products (including, without limitation, the Site) will be at the sole discretion of Lockerz and you waive any right to inspect or approve the finished Materials or any such productions or products.

You further agree that Lockerz may use your name, voice, likeness and any biographical material concerning you which you may provide to Lockerz, in any and all media, now or hereafter known, and in the promotion, advertising, sale, publicizing and exploitation of Lockerz, the Materials and any derivative productions or products throughout the world in all media, an unlimited number of times in perpetuity. You further represent that any statements made by you during your video submission are true, to the best of your knowledge, and that neither such statements nor your appearance will violate or infringe upon the rights of any third party.

You hereby release Lockerz, its successors, assignees and licensees from any and all claims and demands arising out of or in connection with any use and/or alteration of the Materials, including, without limitation, any and all claims for invasion of privacy, infringement of your right of publicity, defamation (including libel and slander), infringement of copyright and any other personal and/or other property rights, and you agree that you shall not now or in the future assert or maintain any such claim against Lockerz, its successors, assignees and/or licenses. For purposes of clarity, you expressly waive any and all moral rights or “droit morale” that you might have in connection with your appearance and the use and/or exploitation of the Materials.

You understand that Lockerz has been induced to proceed with the review of the Materials in reliance upon this Release. If Lockerz breaches this Release, you agree that your sole remedy shall be strictly limited to an action for monetary damages, if any, and in no event shall you be entitled to terminate this Release or to seek to enjoin the production, distribution, exhibition and/or other exploitation of the Materials or any part thereof or any other item created by Lockerz utilizing any of the Materials.

This Release shall be governed by the internal substantive laws of the Commonwealth of Pennsylvania, without regard to its conflicts of laws principles. This Release constitutes the entire understanding between you and Lockerz with respect to the subject matter hereof and cannot be amended or revoked except in by written agreement of both parties. You acknowledge and agree that any of the foregoing rights may be further granted or assigned by Lockerz, in whole or in part, to any third party.

You hereby warrant that you are at least 18 years old and have the right to contract in your own name. You have read the above authorization, release and agreement, and are fully familiar with the contents thereof, and agree that it shall be binding upon you and your heirs, legal representatives and assigns.
